Your access to the J Gross Pharmacy Group (“J Gross Pharmacy Group”) mobile application and websites and co-branded J Gross Pharmacy Group-affiliate websites, (collectively, the “J Gross Pharmacy Group Digital Services”) is subject to the J Gross Pharmacy Group Privacy Policy, HIPAA Privacy, and these Terms of Use. 

If you do not agree with any of these terms, you are prohibited from using the J Gross Pharmacy Group digital services.  BY USING THE J Gross Pharmacy Group DIGITAL SERVICES, YOU AGREE TO THESE TERMS OF USE.

B. MODIFICATION OF TERMS OF USE

The mobile application and this website are owned and operated by J Gross Pharmacy Group.  J Gross Pharmacy Group reserves the right to change, modify, add or remove portions of these Terms of Use at any time and in its sole discretion.  Such modifications and additional terms and conditions will be effective immediately and incorporated into these Terms.  You are responsible for reviewing and becoming familiar with any such modifications.  Your continued use of J Gross Pharmacy Group Digital Services following the posting of any changes to these Terms of Use means you accept and agree to such changes.  As long as you comply with these Terms of Use, J Gross Pharmacy Group grants you a personal, non-exclusive, non-transferable, limited privilege to access and use J Gross Pharmacy Group Digital Services.

B. ACCOUNTS, PASSWORDS & SECURITY

Certain information or services offered on or through the J Gross Pharmacy Group Digital Services may require you to create an account (including setting up a User ID and password).  You are responsible for maintaining the confidentiality of the information you hold for your account, including your password, and for all activities that occur in connection with your password or account.  You agree to immediately notify us of any unauthorized use of either your password or account or any other breach of security.  You further agree that you will not permit others, including those whose accounts have been terminated, to access the J Gross Pharmacy Group Digital Services using your account or User ID.  J Gross Pharmacy Group cannot and will not be liable for any loss or damage arising from your failure to comply with these obligations.

C. INFORMATION COLLECTED

J Gross Pharmacy Group may collect various types of information from website visitors. B. LIMITATIONS OF LIABILITY

IN NO EVENT WILL J Gross Pharmacy Group BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES, INCLUDING FOR LOSS OF PROFITS, GOOD WILL, USE, DATA OR OTHER INTANGIBLE LOSSES THAT RESULT FROM (i) THE USE OF OR INABILITY TO USE THE J Gross Pharmacy Group DIGITAL SERVICES, (ii) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES RESULTING FROM ANY GOODS, DATA, INFORMATION OR SERVICES PURCHASED OR OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH OR FROM THE J Gross Pharmacy Group DIGITAL SERVICES (iii) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA ON THE J Gross Pharmacy Group DIGITAL SERVICES; (iv) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE J Gross Pharmacy Group DIGITAL SERVICES; OR (v) ANY OTHER MATTER RELATING TO THE DIGITAL EXPERIENCE, WHETHER IN CONTRACT, NEGLIGENCE OR OTHER TORTIOUS ACTION, EVEN IF J Gross Pharmacy Group HAS BEEN ADVISED OF OR SHOULD HAVE KNOWN OF THE POSSIBILITY OF SUCH DAMAGES. IN JURISDICTIONS THAT DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SUCH LIMITATION SHALL NOT BE APPLICABLE TO YOU.

If, notwithstanding the other provisions of these Terms of Use, J Gross Pharmacy Group is found to be liable to you, any liability on the part of J Gross Pharmacy Group will not exceed the fees paid by the user for the particular information or service provided.  J Gross Pharmacy Group is not liable for the unauthorized use of our Content by any other web sites.

C. INDEMNIFICATION

You agree to indemnify and hold J Gross Pharmacy Group, its officers, directors, shareholders, predecessors, successors in interest, employees, agents, parent companies, subsidiaries and affiliates, harmless from any demands, loss, liability, claims or expenses (including attorneys’ fees), made against J Gross Pharmacy Group by any third party due to or arising out of or in connection to your violation of these Terms of Use, or with your use of the Digital Services.

D. GOVERNING LAW; DISPUTE RESOLUTION

If any part of these Terms of use is determined by a court of competent jurisdiction to be invalid or unenforceable, it will not affect any other provision of these Terms of Use, all of which remain in full force and effect.  You agree that all matters, including all disputes, relating to your access to or use of J Gross Pharmacy Group information or services or of the J Gross Pharmacy Group Services, including its Contents, will be governed by the laws of the State of Texas without regard to its conflicts of laws provisions.  You agree to the personal jurisdiction by and venue in the state and federal courts for Dallas County, Texas, and waive any objection to such jurisdiction or venue.

Any claim under these Terms of Use must be brought within one (1) year after the cause of action arises, or such claim or cause of action is barred. In the event of any controversy or dispute between J Gross Pharmacy Group and you arising out of or in connection with your access to or use of J Gross Pharmacy Group information or the J Gross Pharmacy Group Digital Services, including its Contents, the parties shall attempt, promptly and in good faith, to resolve any such dispute.  If we are unable to resolve any such dispute within a reasonable time (not to exceed thirty (30) days), then either party may submit such controversy or dispute to mediation. If the dispute cannot be resolved through mediation, then the parties shall be free to pursue any right or remedy available to them under applicable law.

E. FOREIGN CORRUPT PRACTICES ACT

User acknowledges that it is not the agent of J Gross Pharmacy Group and represents and warrants that it has not, and covenants that it will not, pay anything of value to any government employee in connection with the resale of and products available through the J Gross Pharmacy Group Digital Services.

F. ENTIRE AGREEMENT; SEVERABILITY; MISCELLANEOUS

These Terms of Use, our Privacy Policy, and our HIPAA Privacy Notice constitute the entire agreement between you and J Gross Pharmacy Group and governs your use of the J Gross Pharmacy Group Digital Services.  You also may be subject to additional terms and conditions that may apply when you use affiliate services, third-party content, or third-party software.  If any part of these Terms of Use is held invalid or unenforceable, that portion shall be construed in a manner consistent with applicable law to reflect, as nearly as possible, the original intentions of the parties, and the remaining portions shall remain in full force and effect.  J Gross Pharmacy Group’s failure to enforce any right or provisions in these Terms of Use will not constitute a waiver of such or any other provision.  J Gross Pharmacy Group will not be responsible for failures to fulfill any obligations due to causes beyond its control.  The section titles in the Terms are for convenience only and have no legal or contractual effect.

The J Gross Pharmacy Group Digital Services are operated by J Gross Pharmacy Group and its affiliates from its offices in the United States. You agree to comply with all local, state, federal, and national laws, statutes, ordinances, and regulations that apply to your use of the J Gross Pharmacy Group Digital Service.  All transactions through the J Gross Pharmacy Group Digital Services are governed by Texas law, without giving effect to its conflict of law provisions.  Your use of the Services may also be subject to other laws.  Risk of loss and title for all electronically delivered transactions pass to the purchaser in Texas upon electronic transmission to the recipient.  No J Gross Pharmacy Group employee or agent has the authority to vary these Terms of Use.

J Gross Pharmacy Group may notify you with respect to the Services by sending an email message to your account email address or a letter via postal mail to your account mailing address, or by a posting via the J Gross Pharmacy Group Digital Services.  Notices shall become effective immediately.

J Gross Pharmacy Group reserves the right to take steps J Gross Pharmacy Group believes are reasonably necessary or appropriate to enforce and/or verify compliance with any part of these Terms of Use.  You agree that J Gross Pharmacy Group has the right, without liability to you, to disclose any registration data and/or account information to law enforcement authorities, government officials, and/or a third party, as J Gross Pharmacy Group believes is reasonably necessary or appropriate to enforce and/or verify compliance with any part of these Terms of Use.

Nothing in these Terms of Use shall create or be deemed to create a partnership, agency, trust arrangement, fiduciary relationship, employment engagement, or joint venture between you and J Gross Pharmacy Group, its affiliates, or other users.

5. MISCELLANEOUS

A. FEEDBACK & INFORMATION

J Gross Pharmacy Group welcomes your feedback. Any feedback you provide through the J Gross Pharmacy Group Digital Services will be deemed non-confidential, and J Gross Pharmacy Group will be free to use such information on an unrestricted basis.

B. GENERAL INFORMATION

J Gross Pharmacy Group may elect to monitor areas of the J Gross Pharmacy Group Digital Services by electronic or other means and may disclose any Content, records, Submissions or electronic communication of any kind (i) to satisfy any law, regulation or government request; (ii) if such disclosure is necessary or appropriate to operate the J Gross Pharmacy Group Digital Services; or (iii) to protect our rights or property or the rights of the users, sponsors, providers, licensors or merchants.  We are not responsible for screening, policing, editing or monitoring such Content. If notified of allegedly infringing, defamatory, damaging, illegal or offensive Content, we may investigate the allegation and determine in our sole discretion whether to remove or to request the removal of such Content from the J Gross Pharmacy Group Digital Services.

J Gross Pharmacy Group’s failure to insist upon strict performance of any provision of these Terms of Use and policies will not be construed as an implicit waiver of any provision or right.  These Terms of Use and policies constitute the entire agreement between you and J Gross Pharmacy Group governing your use of the J Gross Pharmacy Group Digital Services.  As stated above, your use of this site is also subject to our Privacy Policy
